Any dispute relating to the validity, interpretation, performance or termination of these Terms and Conditions shall be subject to the exclusive jurisdiction of the French courts.
Browsing on the Site is subject to current European and French legislation and regulations and to these GCU.
Hereinafter, NovaLend refers to NovaLend SAS.

Definition

Unless otherwise stipulated, the terms and expressions beginning with a capital letter used in this agreement, including its preamble, shall have the meaning attributed to them below:
GCU: General Terms and Conditions of Use

  • Downloadable Content: content made available to you that you are authorised to download from the Site.
  • Renter: any professional or company that has signed a long-term rental contract offered by NovaLend.
  • Partner: any professional or company and any employee of a company using NovaLend’s services to offer financing for the acquisition of equipment.
  • Site: www.novalend.com and api.novalend.com
  • Services: access to the platform and all its functions, including setting up a long-term rental or leasing contract and managing this contract until its end.

1. Access to the site

a. General provisions

To access and use all the features of the Site, you must be a professional, be of legal age, not be prohibited from managing a company, have a valid e-mail address and a valid mobile telephone number.
Access to certain sections of the Site requires the use of personal access codes. In this case, it is your responsibility to take the appropriate measures to ensure the secrecy of these codes. You may change them at any time. However, the number of attempts to access these sections may be limited in order to prevent fraudulent use of these codes. We invite you to inform us of any fraudulent use of which you may become aware.
You acknowledge that the data you provide and which are stored in our information systems are accurate and constitute proof of your identity. We would be grateful if you could inform us of any changes to this information.
In the event of non-compliance with the rules described in these GCU, we reserve the right to suspend your access to the Site. In this case, we will inform you as soon as possible.
Although we endeavour to keep the Site accessible at all times, we cannot guarantee access in all circumstances. In fact, and in particular for reasons of maintenance, updating or any other reason beyond our control, access to the Site may be interrupted without NovaLend being held liable. Browsing on the Site is entirely secure (SSL – https).

b. Registration

Some Services are accessible without being connected. For Services that require you to be logged in, you must create an account.
In order to access all the features of the Site, you must :
Register by providing your company’s SIREN number, your surname, first name, business email address and business mobile phone number;
Choose a password which must contain at least 8 characters including 1 number;
Validate these Site Terms and Conditions by ticking the appropriate box.
The account you create is in the name of your company and allows you to either:
offer NovaLend Services to your customers ;
benefit directly from NovaLend Services.
If you create an account for a third party, you must ensure that you have the third party’s authorisation; NovaLend cannot be held responsible in any case. Any false or irregular declaration may be subject to specific processing intended to prevent fraud.

c. Eligibility of a company for financing on Novalend

By visiting the following link: https://www.novalend.com/, you can test the company’s eligibility for financing by NovaLend, free of charge and with no obligation.
All you need to do is provide the company’s SIREN number.

2. Using the site with a logged-in profile

a. Services offered on the site

I. You wish to offer a leasing contract to your customer as part of a mandate they have given you
The “eligibility” service The Site allows you to find out whether your customer is eligible for a NovaLend long-term rental offer by entering the company’s SIREN number.
The “price” service “The Site offers the possibility of calculating the amount of a rent from the amount of the investment, using scales defined by NovaLend. You remain solely responsible for providing the data required for these calculations.
With a view to obtaining ratification of the financing decision, the Site offers you the possibility of entering the information required to ratify this decision, which constitutes a financing agreement (in particular, the amount of the rental payments, the frequency, the payment terms, and the identification of the equipment). You remain solely responsible for providing the data required for these calculations, which may be revoked by NovaLend in the event of fraud.
Issuing the ContractThe Site offers the option of issuing the rental contract for requests that have been ratified. You must enter the additional data requested by the Site, in particular the details of the Equipment to be financed. You remain solely responsible for providing the information required to draw up the hire contract and for ensuring that it complies with the finance agreement. Any failure to do so will give rise to legal proceedings.
NovaLend’s teams analyse your customer’s project financing file. In order to facilitate the customer experience, the Site uses external commercial databases; NovaLend cannot be held responsible for the information collected in these databases. In addition, you undertake to provide NovaLend with true, accurate and complete information on the project and the company’s situation, without omission, in order to study your client’s application.

b. Identification of the parties

In order to combat fraud, NovaLend will carry out checks on the identity of your company and the identity of the manager(s) or signatory(ies) authorised to commit the company.
For this reason, we may need to validate the identity of the ultimate beneficiaries of the operation and the company’s directors in parallel with the credit analysis.
Any false or irregular declaration may be subject to specific processing designed to prevent fraud.

c. Acceptance of the rental offer and electronic signature

I. You offer a long-term rental contract to your customer
You access the site, or have sent your mandate to NovaLend by any means whatsoever (post, e-mail, telephone call, etc.), in order to send you a commercial proposal.
II. You make a direct request for your company You have submitted a request on the Site and obtained a commercial proposal
You expressly acknowledge that the decision to accept or refuse financing for the project presented is made at NovaLend’s discretion, and that NovaLend cannot be held liable for any refusal.
The simple electronic signature process for rental contracts on the Site takes place via a secure session (SSL – https) with two-factor authentication, including 2 stages:
The first stage of authentication is carried out using your e-mail address;
The second stage is carried out by sending an SMS to your mobile phone containing a signature code to be entered on the Site to validate your pre-registration and express your full consent to the Site’s GTC.
Any long-term rental contract signed on the Site is binding on the signatory. You acknowledge that you have read and understood the commitments and obligations associated with the rental contract. You acknowledge that you have not been forced or coerced to sign the contract and therefore that you are not in a situation of forced sale.

d. Downloadable content

We may make content available on this Site that you are authorised to download. By downloading or using this Downloadable Content, you undertake to use it in accordance with these GCU.
We grant you a non-exclusive and non-transferable right to use the Downloadable Content solely for your personal and private needs, free of charge and for the legal duration of copyright protection. Any reproduction, representation, modification or distribution of the Downloadable Content must be expressly authorised by us.

e. Personal data

When using this Site, NovaLend may process personal data. For more information on how we process your personal data, please consult our Privacy Policy.

3. Pricing conditions

Access to the Site is entirely free of charge.
NovaLend will not be held responsible for the financial and tax consequences of financing received on the Site, and urges you to consult your own legal or tax advisor to study your specific situation.

4. Evidence agreement

Acceptance of the GCU by electronic means has the same evidential value between the parties as agreement on paper.

The computerised registers kept in the computer systems will be kept in reasonable conditions of security and will be considered as proof of the communications between the parties.

Contractual documents are archived on a reliable and durable medium that can be produced as proof.

5. Information contained on the site

a. General provisions

We endeavour to provide you with accurate and up-to-date information. However, as the transmission of data and information over the Internet is only relatively reliable from a technical point of view, we cannot guarantee the accuracy of all the information appearing on this Site and accept no responsibility for the use of this information.
Furthermore, we remind you that inaccuracies or omissions may appear in the information available on this Site, particularly as a result of intrusion by third parties. We invite you to inform us of any inaccuracies or omissions at the following address: contact@novalend.com.
The information made available on the Site is for information purposes only and in no way constitutes an invitation to contract, advice or a recommendation of any kind whatsoever. In particular, NovaLend does not provide any financial or tax advice.
For any advice, users are invited to contact their usual advisors, particularly in legal and tax matters.
NovaLend shall not be liable for any damages whatsoever, whether direct or indirect, resulting from information contained on this Site.

i. You wish to set up a leasing contract for your company+
You are a company domiciled in mainland France and registered with the Trade and Companies Registry, and you have closed at least two accounting periods.
You want to set up a long-term leasing solution quickly so that you can benefit from the use of equipment in the course of your company’s business.
NovaLend’s teams will analyse your application to finance your project. In order to improve the customer experience, the Site uses external commercial databases; NovaLend cannot be held responsible for the information collected in these databases. Furthermore, you undertake to provide NovaLend with true, accurate and complete information on your project and your company’s situation, without omission, in order to review your application.
NovaLend does not provide any financial advice to companies and cannot be held responsible for the financial and tax consequences of contracts that you may benefit from on the Site. We remind you that you retain full initiative and responsibility for the contract and for the payment of rents due.

b. Hypertext links

The hypertext links set up on this Site may take you to websites published by third parties whose content we do not control. As a result, and insofar as the hypertext links have been included on this Site solely in order to facilitate your browsing on the Internet, consultation of third-party sites will be your choice and your sole responsibility.
Furthermore, if you wish to create hypertext links to this Site, a request for authorisation must first be sent to us at the following address: contact@novalend.com.

6. Closing your NovaLend account

NovaLend collects and uses some of your data for the proper operation of its services. Some of this data may only be recorded in our CRM software or in our databases.

When the user of the Site is not referenced in one or more contracts, he/she may close his/her NovaLend Account at any time. On the other hand, other data may be used in connection with the signing of a contract and then in connection with the management of that contract until its expiry.

If you wish to close an account whose data is used to manage a contract, you must contact NovaLend in order to provide a substitute contact: contact@novalend.com.

By closing your NovaLend Account you acknowledge that :

  • you will no longer be able to access the data contained in your NovaLend Account;
  • you will no longer be able to access the services offered by the Site.
  • To close your NovaLend Account, you must send an e-mail from your e-mail address to contact@novalend.com indicating your wish to close your NovaLend Account.
  • Within a maximum of 30 days, you will receive a confirmation email from NovaLend confirming the closure of your NovaLend Account.

7. Intellectual property rights

The Site and each of its components (such as brands, images, texts, videos, etc.) are protected under intellectual property law.

The development of this Site has involved significant investment and joint work by our teams. For this reason, and unless expressly stipulated otherwise herein, we do not grant you any rights other than that of consulting the Site for your strictly personal and private use.

Any use, reproduction or representation of the Site (in whole or in part) or of its component parts, on any medium whatsoever, for any other purpose, and in particular for commercial purposes, is not authorised.

8. Referencing

On an exceptional basis, we may expressly authorise you to reproduce and/or represent all or part of the Site on certain media.

9. Complaints

10. Modification of the site and its conditions

We may modify the content and information included on this Site and these GTC at any time, in particular in order to comply with any new legislation and/or applicable regulations and/or in order to improve the Site. Any changes will be incorporated into these GTCU.

You acknowledge and accept that your use of the Site implies your acceptance of the GCU as amended.
